Welcome to NexHR. Please read these Terms of Service ("Terms") carefully as they govern your use of the NexHR platform, including the Employer Web Portal, Employer Mobile App, and our website (collectively, the "Service"). The Service is operated by NexHR ("we", "us", or "our").
By registering a company account, accessing the website, or using any part of the Service, you ("Employer", "Company", "Subscriber", or "User") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. NexHR Service Usage
NexHR is a cloud-based human resource and workplace management platform offering employer dashboard interfaces, shift coordination, geofenced attendance logging, and automated payroll estimation tools. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service in accordance with these Terms.
2. Employer/Company Account
To use the Service, you must create a company workspace account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security and confidentiality of your credentials.
- Accept responsibility for all activities that occur under your company account.
- Notify us immediately of any unauthorized use or breach of security.
3. Authorized Users
Employers may invite administrators, managers, and employees ("Authorized Users") to access their workspace. The Employer is fully responsible for:
- Setting appropriate permission levels and controls for all Authorized Users.
- Ensuring all Authorized Users comply with these Terms.
- Promptly terminating access for any individuals who are no longer authorized to act on behalf of the company.
4. Employee Data Responsibility
As the Employer, you act as the Data Controller under applicable data protection laws for all data regarding your employees that you input, upload, or generate via the Service (including attendance logs, profiles, designations, and salary details). You represent and warrant that:
- You have obtained all necessary consents or have a valid legal basis to collect, process, and upload your employees' information.
- All data provided is accurate, lawful, and does not violate any third-party rights.
- You will handle all employee data requests (such as deletion or modification requests) in compliance with local labor and privacy regulations.
5. Attendance & HR Features
The Service provides geofencing capabilities to assist with attendance tracking.
- It is the Employer's sole responsibility to configure coordinates and boundaries ("Geofences") for punch-in/punch-out actions.
- We do not guarantee the absolute accuracy of device GPS data or coordinates provided by third-party operating systems and networks.
- The Employer must establish backup protocols for logging shifts and attendance in the event of device or connectivity failure.
6. Payroll Calculation Disclaimer
NexHR provides automated templates and calculation engines for estimating employee salaries, overtime payouts, and deductions.
- Disclaimer: All automated payroll projections, tax estimates, and wage summaries generated by NexHR are for informational and convenience purposes only.
- NexHR does not verify compliance with local minimum wage, social security, withholding tax, or labor laws.
- The Employer must independently review, verify, and approve all calculations before distributing funds or reporting taxes. We disclaim any liability for financial penalties, unpaid taxes, wage disputes, or interest arising from erroneous calculations generated by the Service.
7. Account Security
You must maintain the security of your authentication tokens, passwords, and sessions. We utilize Redis to manage active sessions and terminate tokens securely. You are prohibited from sharing session keys, bypass codes, or login credentials across multiple individuals or departments.
8. Acceptable Use & Prohibited Activities
You agree not to:
- Use the Service for any unlawful or unauthorized purpose.
- Reverse engineer, decompile, or disassemble any aspect of the platform.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload malware, spyware, or viruses.
- Bypass, disable, or tamper with geofencing check-ins, device-binding restrictions, or authentication layers.
- Circumvent subscription bounds or platform limitations.
9. Intellectual Property
All intellectual property rights in the Service (including software, UI designs, brands, logos, templates, and documentation) are owned by us or our licensors. Except as explicitly stated, no license or ownership rights are transferred to you.
10. Service Availability
While we strive for maximum uptime, we do not guarantee that the Service will be uninterrupted, error-free, or constantly available. We reserve the right to perform scheduled maintenance, updates, or emergency fixes that may temporarily limit access.
11. Suspension & Termination
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if we believe you have breached these Terms, failed to pay subscription fees, or engaged in fraudulent activity.
12. Limitation of Liability
To the maximum extent permitted by law, in no event shall NexHR, its directors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of your access to or use of the Service. Our total cumulative liability shall not exceed the subscription fees paid by you in the three (3) months preceding the claim.
13. Third-Party Services
The Service may integrate with third-party service providers (such as AWS S3 for storage, Redis Labs, and SMS Gateways). We are not responsible for the performance, availability, or terms of any third-party services.
14. Changes to Service & Terms
We reserve the right to modify the Service or update these Terms at any time. We will notify you of material changes by posting the updated Terms on our site or through the platform. Your continued use of the Service after modifications indicates acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
